1. Acceptance of Terms

By engaging with SoniNow's services, you signify your agreement to these Terms of Service. These terms constitute a legally binding agreement between the client and SoniNow. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Services & Engagements

SoniNow provides specialized digital engineering, architectural SEO, and strategic growth consulting. Each project is governed by a specific Statement of Work (SOW) or Service Level Agreement (SLA) that outlines the scope, deliverables, and timelines. We reserve the right to modify our service offerings at any time to reflect technological advancements or market shifts.

3. Intellectual Property Rights

Unless explicitly stated in a custom contract, all custom code, design systems, and digital assets developed exclusively for a client become their intellectual property upon full payment. However, SoniNow retains ownership of "Pre-existing Material" including boilerplate libraries, proprietary frameworks, and generalized architectural patterns used across multiple projects.

4. Payment & Commercial Terms

Payment schedules are defined in the project SOW. Standard terms include a commencement deposit followed by milestone-based payments. Late payments may result in a temporary suspension of services or additional administrative fees. All fees are non-refundable unless otherwise specified in our dedicated Refund Policy.

5. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. SoniNow will facilitate a professional handover of intellectual property paid for by the client.

6. Limitation of Liability

To the maximum extent permitted by law, SoniNow's total liability for any claim arising out of our services is limited to the amount paid to us by the client for the specific service in question during the 12 months preceding the claim. We are not liable for lost profits, data loss, or indirect consequential damages.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where SoniNow is registered, without regard to its conflict of law provisions.
